Coming Phase 1.5These terms govern your use of Neumannic and the relationship between you and us. Last updated June 12, 2026 · v1.0. The detailed prose is being authored as part of the Phase 1.5 docs expansion; the structure below is the binding outline.
Definitions
The defined terms used throughout this document — including 'Account', 'Workspace', 'Subscription', 'Content', and 'Services' — carry the meanings established in this section. Where a defined term is used in a later section, it carries the meaning established here.
Account eligibility
You must be at least eighteen years old to create an account. You agree to provide accurate information at sign-up, to keep that information current, and to be responsible for the activity that occurs under your account. We may suspend or terminate accounts that fail to meet these eligibility conditions.
Acceptable use
You agree not to use the Services to generate unlawful content, to circumvent the rate limits or content filters that protect the platform, or to attempt to extract our proprietary prompts and routing logic. The detailed acceptable-use rules — including the prohibited-content list, the rate-limit framework, and the violation-handling cadence — are part of this section.
Subscription and billing
Paid subscriptions are billed in advance on a recurring basis. Billing is handled by our payment partner. Renewal, upgrades, downgrades, refunds, and proration follow the rules established in this section. The five plan tiers — Trial, Solo, Professional, Agency, and Enterprise — each carry their own billing characteristics; the tier-specific terms are referenced here.
Intellectual property
Neumannic retains all rights to the Services, including the software, the routing logic, the prompt templates, and the platform brand. You retain all rights to the content you create using the Services, subject to the licenses you grant us under the User Content section below.
User content and licenses
The content you create through the Services belongs to you. You grant us a limited license to store, process, and route that content as necessary to provide the Services. The license is workspace-scoped — content stored under your workspace stays under your workspace, and is not used to train the underlying models we route to (see the Privacy Policy and the Security page for the zero-data-retention posture that governs this commitment).
Termination and suspension
You may close your account at any time. We may suspend or terminate accounts for material breach of these Terms, for non-payment, or where required by law. The data-retention and data-export rules that apply on termination are governed by the Privacy Policy.
Disclaimers and limitation of liability
The Services are provided on an as-is basis. We disclaim implied warranties to the maximum extent permitted by law. Our aggregate liability is capped at the amounts you have paid for the Services in the twelve months preceding the claim. The detailed disclaimer text, the carve-outs (where applicable to your jurisdiction), and the liability cap mechanics are part of this section.
Indemnification
You agree to indemnify us against claims arising from your use of the Services in breach of these Terms — including claims arising from content you generate that violates applicable law or third-party rights. The reciprocal indemnity we offer for our infringement of third-party intellectual property is described here as well.
Governing law
These Terms are governed by the law of the State of Delaware, without regard to its conflict-of-laws principles. Where mandatory consumer protection laws of your home jurisdiction give you greater rights, those rights are preserved.
Dispute resolution
Disputes that cannot be resolved through good-faith discussion are subject to binding arbitration on an individual basis. The arbitration venue, the small-claims-court exception, and the opt-out window for new accounts are described in this section.
Modifications to the Terms
We may amend these Terms from time to time. Material changes are communicated by email to the address on file for your account and by an in-app notification at least thirty days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the amended Terms.
